How we get you licensed and live

  1. Scoping and proposal. We confirm the MSB type, the activity thresholds that apply, the state licences that run in parallel and, for a foreign-located business, the US resident agent and the US records location.
  2. Application pack. FinCEN Form 107, the written anti-money laundering programme with its four elements, the agent list and the estimate of business volume for filing through the BSA E-Filing System within 180 days of establishment.
  3. Banking. US bank accounts, opened alongside the filing.
  4. Filing and renewal. The registration takes effect on filing. We then track the events that require re-registration, such as a change of control or a more than 50% increase in agents, and file the renewal due every two calendar years by 31 December.

Your team, banking and technology

You will need a compliance officer to run your anti-money laundering programme, a separate independent reviewer and, if based abroad, a US agent to receive legal papers.

The licence in detail

Requirements, capital, timing, fees and common questions, drawn from the regulator’s own publications.

Key takeaways
  • Every money services business registers with FinCEN whether or not it is licensed by any state; the registration is a filing on FinCEN Form 107 through the BSA E-Filing System, not an approval.
  • There is no capital requirement and no fee.
  • Initial registration is due within 180 days of the business being established; the registration period is two calendar years and the renewal is due by 31 December of the year before the new period.
  • A written anti-money laundering programme with four elements, policies and controls, a compliance officer, training and independent review, must be in place within 90 days of establishment.
  • No activity threshold applies to money transmitters; currency dealers, check cashers and issuers or sellers of money orders, traveler’s checks or stored value are MSBs above US$1,000 per person per day.
  • A foreign-located MSB doing business in the United States registers, designates a US resident agent for service of process and keeps its records at a US location; the civil penalty is US$5,000 per violation, with each day a separate violation.

Who needs the licence

A money services business must register with FinCEN under 31 CFR 1022.380 whether or not it is licensed as a money services business by any state. A business that is an MSB solely as an agent of another MSB, the US Postal Service and federal, state and local government agencies are excluded; a business acting both for itself and as an agent registers. A foreign-located MSB doing business in the United States registers in the same way. The registration confers no right to operate: money transmission remains licensed state by state under the state money transmitter licences, and the two run in parallel.

Who is a money services business

ActivityThreshold
Money transmitterNo threshold
Currency dealer or exchangerMore than US$1,000 per person per day
Check casherMore than US$1,000 per person per day
Issuer, seller or redeemer of money orders or traveler’s checksMore than US$1,000 per person per day
Provider or seller of prepaid access (stored value)More than US$1,000 per person per day; each prepaid programme listed on the form

What FinCEN requires

  • Registration form. FinCEN Form 107 filed electronically through the BSA E-Filing System: one form per MSB regardless of branches or agents, with branch and agent counts reported; providers of prepaid access list each prepaid programme.
  • Deadline. Within 180 days of the business being established. Re-registration within 180 days after a change of ownership or control that requires state re-registration, a transfer of more than 10% of voting power or equity, or an increase of more than 50% in agents.
  • Anti-money laundering programme. Under 31 CFR 1022.210, a written programme reasonably designed to prevent money laundering and terrorist financing, with policies, procedures and internal controls, a designated compliance officer, training and an independent review not carried out by the compliance officer, in place within 90 days of establishment.
  • Records. A copy of the form, an estimate of business volume, ownership information and the agent list kept for five years at a US location and produced on request.
  • Agent list. Maintained and revised each 1 January, not filed: agent name, address, services, months with gross transactions over US$100,000, bank accounts and sub-agents.
  • Foreign-located MSBs. A US resident agent for service of process and a US location for records.

Exclusions and thresholds

A business that is an MSB solely as an agent of another MSB does not register; nor do the US Postal Service and government agencies. Currency dealers, check cashers and issuers or sellers of money orders, traveler’s checks and stored value are MSBs only above US$1,000 per person per day; money transmitters have no threshold.

Geographic scope

The registration covers the whole United States and confers no right to operate: the regulation applies whether or not the business is licensed by any state, and each state’s money transmitter licence remains required. Groups serving the United States from abroad pair the registration and the state licences with their home authorisation, such as a UK payment institution licence.

Why applications are delayed

Registration takes effect on filing, so FinCEN publishes consequences rather than causes of delay. Operating without complying with the registration rule is unlawful; a false or materially incomplete filing counts as non-compliance; the civil penalty is US$5,000 per violation with each day a separate violation, and 18 USC 1960 provides criminal penalties of up to five years’ imprisonment. The points settled before filing are the MSB type and threshold, the AML programme, the agent list and the US location for records.

Your bank accounts

An MSB needs US bank accounts, and banks review the FinCEN registration, the AML programme and the state licences before opening them. We open them alongside the registration. See banking and payment processing.

Common questions

Does FinCEN registration replace state licences?

No. Registration is required whether or not the business is licensed by any state, and the state money transmitter licences remain required to operate.

Is there a fee for FinCEN registration?

No. Neither the regulation nor FinCEN’s registration page states a fee, and renewal is free.

When must we register and renew?

Within 180 days of establishment, then every two calendar years with the renewal due by 31 December of the preceding year. Re-registration follows a change of control, a transfer of more than 10% of equity or a more than 50% increase in agents.

Is there a threshold for money transmitters?

No. The US$1,000 per person per day threshold applies to currency dealers, check cashers and issuers or sellers of money orders, traveler’s checks and stored value, not to money transmitters.

Must a foreign company register?

Yes, where it does business in the United States: it files the same form, designates a US resident agent for service of process and keeps its records at a US location.
