How we get you licensed and live

  1. Scoping and proposal. The dual licence under both ordinances, the paid-up and liquid capital, the twelve months of liquid assets, the associated entity for client assets and the responsible officer line-up are confirmed before filing.
  2. Application pack. Forms VA1, VA3 and VA6, the supplements, Questionnaire VA1, the board resolution and the Phase 1 external assessment report, filed as one consolidated application through WINGS.
  3. Banking. Accounts for client fiat funds, separate from the platform’s own, and operating accounts in Hong Kong are opened alongside the application.
  4. Regulator engagement. The SFC’s questions, visa timing for responsible officers and the capital injection are handled, then the Phase 2 external assessment after approval-in-principle, until the licence; we plan for twelve to eighteen months.

Your team, banking and technology

You will need two responsible officers, senior licensed staff, under each licence, one living in Hong Kong and one an executive director, plus heads of each core function.

Key takeaways
  • A centralised virtual asset trading platform operating in Hong Kong, or actively marketing to Hong Kong investors, has been licensed by the SFC since 1 June 2023 under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance for non-security tokens and the Securities and Futures Ordinance (Types 1 and 7) for security tokens.
  • The SFC recommends applying under both regimes in one consolidated application, because a token’s classification can change.
  • Paid-up share capital of HK$5,000,000 at all times, liquid capital of the higher of HK$3,000,000 and the statutory basic amount, and liquid assets in Hong Kong, excluding virtual assets, equal to twelve months of projected operating expenses.
  • Application fees are HK$4,740 for each regulated activity and HK$4,740 for the AML ordinance licence, HK$2,950 per responsible officer and HK$1,790 per licensed representative.
  • At least two responsible officers, one ordinarily resident in Hong Kong and one an executive director, managers-in-charge of core functions, premises in Hong Kong and a wholly owned associated entity holding client assets on trust.
  • There is no statutory period and the SFC states no fixed processing time; at 17 October 2026 the SFC lists 13 licensed platforms and 5 applicants pending, including applications filed in February 2024.

Who needs the licence

An operator of a centralised platform on which clients trade virtual assets, operating in Hong Kong or actively marketing its services to Hong Kong investors, needs the SFC licence. Applicants are Hong Kong-incorporated companies or non-Hong Kong companies registered with the Companies Registry; sole proprietors and partnerships are not accepted. The licence is in practice dual: a licensed corporation for Type 1 (dealing in securities) and Type 7 (automated trading services) under the Securities and Futures Ordinance, and a licensed virtual asset service provider under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance, with responsible officers and licensed representatives approved under each.

Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615)Licensed virtual asset service providerTrading in non-security tokensResponsible officers and licensed representatives for the VA service

One consolidated application is filed through the SFC’s WINGS portal for both regimes: Forms VA1 and VA3 (at least two responsible officers), VA6, the supplements, Questionnaire VA1 and a board resolution.

What the SFC requires

  • Eligibility and presence. A Hong Kong-incorporated company or a registered non-Hong Kong company, with premises in Hong Kong for the business and for record keeping.
  • Responsible officers and management. At least two responsible officers, at least one ordinarily resident in Hong Kong and at least one an executive director; every executive director approved; managers-in-charge of core functions under a board-approved management structure, with changes notified within seven business days.
  • Capital. Paid-up share capital of HK$5,000,000 at all times; liquid capital of the higher of HK$3,000,000 and the statutory basic amount; liquid assets in Hong Kong, excluding virtual assets, equal to twelve months of projected operating expenses, with the projection submitted.
  • Client assets. Client assets held on trust through a wholly owned associated entity incorporated in Hong Kong, holding a trust or company service provider licence and conducting no other business; cold storage ratios and compensation arrangements under the Guidelines for Virtual Asset Trading Platform Operators.
  • External assessor. A Phase 1 external assessment report filed with the application and a Phase 2 report after approval-in-principle; the SFC’s circular of 16 January 2025 updated the external assessment practice.
  • Standard conditions. Compliance with the VATP Guidelines; immediate notification and cessation if capital falls below the requirement; monthly business reports within two weeks of month end; an independent review within the first 18 months and annually thereafter; prior SFC approval for new or changed services.

Adjacent regimes in 2026

The Hong Kong virtual asset framework has widened since the platform regime opened.

  • Stablecoin issuers. The Stablecoins Ordinance (Cap. 656) is in force; the Hong Kong Monetary Authority granted the first stablecoin issuer licences on 10 April 2026 to Anchorpoint Financial Limited and The Hongkong and Shanghai Banking Corporation Limited.
  • Dealing and custodian regimes. The Financial Services and the Treasury Bureau and the SFC published consultation conclusions on 24 December 2025 on licensing regimes for virtual asset dealing and custodian services, with the dealing regime aligned largely with Type 1 and a bill targeted for introduction to the Legislative Council in 2026; a further consultation on virtual asset advisory and management regimes closed on 23 January 2026. The bill’s progress through the Legislative Council sets when the dealing and custodian regimes take effect.

Geographic scope

The licence covers platform operations in Hong Kong and active marketing to Hong Kong investors, under the active marketing tests in section 115 of the Securities and Futures Ordinance and section 53ZRB of the Anti-Money Laundering and Counter-Terrorist Financing Ordinance. A platform serving the European Union holds a MiCA authorisation and one serving the United Kingdom the FCA cryptoasset authorisation; we obtain each.

Why applications are delayed

The Licensing Handbook sets out what leads the SFC to return an application and what lengthens processing.

  1. Returned applications. Incomplete applications, missing supporting documents and unexplained fitness or competence matters are returned without assessment.
  2. Application quality and internal controls. The standard of the application and of the controls described, and the speed of the applicant’s responses.
  3. Practical dependencies. Visa timing for responsible officers, capital injection, responses from other regulators and later changes to the application.
  4. Caseload. The SFC’s own caseload; of 36 applications since the regime opened, 13 have been licensed, 5 are pending and 18 were returned or withdrawn, with none refused. Before any refusal the applicant may be heard, with an appeal within 21 days.

Banking

A virtual asset firm needs accounts for client fiat funds, separated from its own, and operating accounts in the markets it serves. Banks review the financial crime framework first: customer due diligence, transaction monitoring, travel rule arrangements and the wallet screening tools. We open the accounts alongside the application, with the financial crime framework the banks review. See banking and payment processing.

Common questions

How long does a Hong Kong VATP licence take?

There is no statutory period and the SFC states no fixed processing time. Licences have been granted 12 to 27 months after the regime opened in June 2023, and applications filed in February 2024 remained pending in October 2026; we plan for twelve to eighteen months after submission.

What capital does a platform need?

HK$5,000,000 paid-up share capital at all times, liquid capital of at least HK$3,000,000 and liquid assets in Hong Kong equal to twelve months of projected operating expenses, excluding virtual assets.

Why apply under both ordinances?

A token’s classification as a security or a non-security can change. The SFC recommends a dual licence under the Securities and Futures Ordinance and the AML ordinance, filed as one application.

Who holds client assets?

A wholly owned associated entity incorporated in Hong Kong with a trust or company service provider licence, holding client assets on trust and conducting no other business.

Who must be in Hong Kong?

At least one of the two responsible officers ordinarily resident, at least one an executive director, with managers-in-charge of core functions and premises in Hong Kong for the business and its records.
