How we get you licensed and live

  1. Scoping and proposal. The activities that bring the business within Part 200, the BitLicense or trust company route, the surety bond or trust account and the capital factors DFS weighs are confirmed, with a pre-application meeting where useful.
  2. Application pack. The application against DFS’s New York virtual currency checklist, with the compliance, AML, cyber security and Part 504 monitoring programs, filed through NMLS as a complete application.
  3. Banking. Client fiat accounts separated from the business’s own funds and the operating accounts are opened alongside the application.
  4. Regulator engagement. DFS’s completeness review and substantive questions are answered with the BSA/AML assessment evidence, until the superintendent decides; the 90-day period runs from a complete application.

Your team, banking and technology

You will need a compliance officer, directors and senior officers, each assessed by DFS for character and fitness under its January 2024 guidance.

The licence in detail

Requirements, capital, timing, fees and common questions, drawn from the regulator’s own publications.

Key takeaways
  • Since 24 June 2015, 23 NYCRR Part 200 has required a BitLicense for any of five activities involving New York or a New York resident: transmitting virtual currency, storing or controlling it for others, buying and selling it as a customer business, exchange services, and controlling, administering or issuing a virtual currency.
  • The application fee is US$5,000, non-refundable, filed through NMLS against the New York virtual currency business activity checklist.
  • Capital is the amount the superintendent deems sufficient on a risk assessment weighing nine factors, held in cash, virtual currency or high-quality, highly liquid investment-grade assets; a surety bond or trust account is generally at least US$500,000.
  • The superintendent approves or denies within 90 days of a complete application, extendable for a reasonable period; a complete application follows DFS’s informational completeness review.
  • The New York State Comptroller’s audit of July 2018 to July 2023 found three licensees approved more than twelve months after their BSA/AML assessment and one nearly four years after; DFS issued five BitLicenses from January 2022 to August 2023 and grew its virtual currency unit from 18 to over 60 staff.
  • A limited purpose trust company charter under the Banking Law is the alternative held by 14 of the 39 listed entities; it carries fiduciary powers and money transmission without a separate money transmitter licence.

Who needs the licence

A business that receives virtual currency for transmission or transmits it, stores, holds or controls it for others, buys and sells it as a customer business, provides exchange services as a customer business, or controls, administers or issues a virtual currency, where the activity involves New York or a New York resident, needs a BitLicense. A firm located in another state or country that serves New Yorkers needs it; FinCEN registration does not substitute. Personal investment, merchants accepting virtual currency, mining alone, purely technical software development and advice alone do not require it. A BitLicense is often held together with a New York money transmitter licence.

What DFS requires

  • Compliance officer and programs. A compliance officer (section 200.7); an anti-money laundering program (200.15); a cyber security program (200.16) meeting Part 500; transaction monitoring and filtering under Part 504.
  • Capital and bond. Capital in the amount and form the superintendent deems sufficient on a risk assessment of the licensee (200.8); a surety bond or trust account for the benefit of customers, generally at least US$500,000 and higher by business model (200.9).
  • Custody and customer protection. Custody and protection of customer assets under section 200.9, with DFS’s updated custodial structure guidance of 30 September 2025 on segregation and insolvency protection.
  • Books, records and examination. Books and records and examination access under sections 200.12 and 200.13; DFS’s character and fitness guidance of 22 January 2024 for directors and senior officers; no New York office requirement is stated in Part 200.
  • Coin listing. Coins listed under a DFS-approved self-certification policy or from the Greenlist with ten days’ notice.
  • Application pack. An NMLS company account and administrators, the application against DFS’s New York virtual currency business activity checklist with the US$5,000 fee, and an optional pre-application meeting; DFS runs an informational completeness and facial adequacy check before substantive review.

Capital

Part 200 sets no fixed dollar minimum for capital. The figure for a given business model is set by DFS during the application.

Geographic scope

The BitLicense covers virtual currency business activity involving New York State or New York residents, wherever the business is located. Other states regulate under their own money transmission and virtual currency laws, and federal registration with FinCEN as a money services business applies alongside; we obtain each. A firm serving the United Kingdom holds the FCA cryptoasset authorisation and one serving the European Union a MiCA authorisation.

Why applications are delayed

DFS states that most delays result from missing application elements, and that an application that is not informationally complete does not enter substantive review and may be delayed indefinitely or denied.

  1. Every checklist item present. The application is reviewed for informational completeness and facial adequacy before substantive review begins; the 90-day period runs from completeness.
  2. The BSA/AML, cybersecurity and compliance programs ready. The Comptroller’s audit traced the longest cases to the time between the BSA/AML assessment and approval.
  3. The standard for approval. The superintendent approves where satisfied that the business will be conducted honestly, fairly, equitably, carefully, efficiently and in a manner commanding public confidence (200.6(a)).
  4. DFS capacity. DFS attributes its earlier backlog to resources, since addressed by growing the virtual currency unit to over 60 staff.

Banking

A virtual asset firm needs accounts for client fiat funds, separated from its own, and operating accounts in the markets it serves. Banks review the financial crime framework first: customer due diligence, transaction monitoring, travel rule arrangements and the wallet screening tools. We open the accounts alongside the application, with the financial crime framework the banks review. See banking and payment processing.

Common questions

How long does a BitLicense take?

By regulation, 90 days from a complete application, extendable. The Comptroller’s audit found approvals more than twelve months after the BSA/AML assessment in several cases; we plan for twelve to eighteen months after submission.

What does a BitLicense cost?

US$5,000 on application, an annual assessment made up of supervisory and regulatory components billed quarterly, and a surety bond or trust account generally from US$500,000.

How much capital does DFS require?

The amount the superintendent deems sufficient on a nine-factor risk assessment, held in cash, virtual currency or high-quality liquid assets. There is no fixed minimum; DFS sets the figure during the application.

Is a trust company charter better than a BitLicense?

A limited purpose trust company carries fiduciary powers and money transmission without a separate money transmitter licence, at the cost of a bank-style chartering process. Fourteen of the 39 listed entities hold one; we advise which route fits your model.

Does FinCEN registration cover New York?

No. FinCEN registration as a money services business is a federal requirement that applies alongside the BitLicense; an out-of-state firm serving New Yorkers needs the licence.
