How we get you licensed and live

  1. Scoping and proposal. The licence type, full or restricted, the representative licences, the insurance cover suited to the business plan and the office and resident director arrangements are confirmed before filing.
  2. Application pack. The cover letter, application form, constitutional documents, personal and shareholder questionnaires, insurance quotation, proof of office, business plan and manuals against the FSA’s checklist so the pack is accepted as complete.
  3. Banking and liquidity. Segregated client money accounts, operating and settlement accounts and liquidity provider relationships are opened alongside the application.
  4. Regulator engagement. The FSA’s completeness check and information requests are answered with full disclosure, until the FSA notifies its decision; its service standard is 30 working days from a complete application.

Your team, banking and technology

You will need two directors, one living and working full time in Seychelles, a licensed securities dealer’s representative and a compliance officer.

The licence in detail

Requirements, capital, timing, fees and common questions, drawn from the regulator’s own publications.

Key takeaways
  • A securities dealer licence is required to arrange or execute securities transactions, solicit securities business or manage portfolios in or from Seychelles; unlicensed dealing carries a fine of up to US$200,000 for a company.
  • Minimum paid-up capital is US$100,000, with a policy of insurance covering the securities business.
  • Fees under the 2024 regulations are US$3,000 on application and US$6,000 a year; each licensed representative pays US$500 on application and US$750 a year.
  • The FSA’s service standard is 30 working days from a complete application, about 1.5 months; an incomplete application is returned and lapses unless resubmitted within three months.
  • The company needs at least two natural-person directors, at least one licensed representative, a compliance officer and a furnished office evidenced by lease or title.
  • A business tax rate of 1.5% and no withholding on dividends and interest apply where core income generating activities take place in Seychelles with resident staff and local expenditure.

Who needs the licence

Any person carrying on business as a securities dealer in or from Seychelles, or holding out as one, needs a licence under section 45 of the Securities Act 2007: arranging or entering into securities transactions, soliciting securities business, executing orders and managing securities portfolios where client property may be held. Forex and CFD brokers serving international clients are the main applicants; the licence is held by a Seychelles company with a local office. A recognised overseas dealer with exchange membership may apply as an exempt overseas securities dealer instead.

What the FSA requires

  • Legal form and location. A company incorporated under the Companies Act or in a recognised jurisdiction, with a physical office in Seychelles evidenced by title deed or lease: furnished, with a local telephone line, internet, computer equipment, space for records and a fire extinguisher.
  • Directors and representative. At least two natural-person directors; at least one licensed securities dealer’s representative; every director, shareholder and beneficial owner fit and proper on financial status, qualifications, experience, competence, reputation and integrity, with personal questionnaires.
  • Capital. Minimum paid-up capital of US$100,000.
  • Insurance. A policy of insurance under section 73 covering claims arising from the securities business, with a quotation suited to the business submitted with the application.
  • Compliance officer. A fit and proper compliance officer under section 23 of the Financial Services Authority Act 2013, who may be a board member, with a personal questionnaire.
  • Manuals and records. Operations, client terms, conflicts, compliance, anti-money laundering, complaints and business continuity manuals; two years’ audited accounts unless newly incorporated; source of funds and wealth; quarterly returns and audited financial statements once licensed.
  • Client money. Client money and property are not available to meet the licensee’s debts under section 72; segregation and safekeeping follow the Securities (Conduct of Business) Regulations 2008.
  • Application pack. Cover letter, application form and fee, constitutional documents, personal and shareholder questionnaires, audited accounts, proof of office, representative forms, insurance quotation, business plan and manuals, delivered to the FSA; the FSA checks completeness against its checklist, requests further information and notifies approval or refusal.

Geographic scope

The licence covers business in or from Seychelles; there is no passport. The FSA advises licensees to obtain the approvals required in the jurisdictions where their clients are located. Brokers use the Seychelles licence for international clients alongside an EU or UK authorisation for European clients; we obtain each.

Why applications are delayed

The FSA publishes what it looks for. Each section 46 criterion must be met: the company, two fit and proper directors, a licensed representative, US$100,000 of capital, insurance, a compliance officer and premises. Processing starts only when the fee and a complete pack are received; an incomplete application is returned and lapses unless resubmitted within three months. The FSA states that full disclosure of all necessary information is expected and that its discretion extends to the reputation of the applicant’s advisers. False information carries a fine of up to US$25,000.

Banking and liquidity

A dealer needs segregated client money accounts, an operating account and settlement accounts in the currencies it serves, and liquidity provider relationships before it trades. Banks and liquidity providers review the licence, the client money arrangements, the substance in Seychelles and the financial crime framework before onboarding. We open each alongside the application, so you trade on licensing. See banking and payment processing.

Common questions

How long does a Seychelles securities dealer licence take?

The FSA’s service standard is 30 working days from a complete application, about 1.5 months. We plan for two to three months after submission, allowing for the completeness check and information requests.

What are the fees?

US$3,000 on application and US$6,000 a year under the 2024 regulations; FSA guidance documents still show the older US$1,500 and US$2,500 to US$3,000 figures, and the legislation prevails.

Do we need a resident director?

The FSA’s March 2026 guidelines set no residency rule for directors. The company needs at least two natural-person directors, at least one licensed representative, a compliance officer and a physical office in Seychelles.

Is a physical office required?

Yes, evidenced by title deed or lease: furnished, with a local telephone line, internet, computer equipment and space for records.

Does the licence allow us to serve clients in Europe?

The licence covers business in or from Seychelles only. The FSA advises obtaining approvals in client jurisdictions; we obtain the EU or UK authorisation alongside it.
