How we get you licensed and live

  1. Scoping and proposal. The Schedule 3 category, Category 1 sub-category A or B, the capital resources expected under the Regulatory Code and the authorised representative arrangement are confirmed before filing.
  2. Application pack. The FSC’s general application with the business plan, the fit and proper material for each director, senior officer and significant owner and the compliance, AML and client asset arrangements so the six-week standard applies.
  3. Banking and liquidity. Client money accounts, operating and settlement accounts and the liquidity provider or prime broker relationships are opened alongside the application, so you trade from licensing.
  4. Regulator engagement. The FSC’s questions on capital, management resources and ownership are answered with the evidence, until the decision; the service standard is six weeks for a complete application.

Your team, banking and technology

You will need two directors, a compliance officer and a certified authorised representative in the BVI, each approved by the FSC as fit and proper.

Key takeaways
  • No person may carry on investment business in or from within the Virgin Islands without a licence, and a BVI business company doing investment business anywhere is treated as doing it from within the territory.
  • Licences are issued in seven categories under Schedule 3 of the Act; a forex or CFD broker dealing with clients as counterparty applies for Category 1 sub-category B (dealing as principal), an agency or straight-through broker for sub-category A.
  • Capital resources are set by the Regulatory Code to the nature, size, complexity and risk of the business, reviewed at least annually; the FSC may direct a higher amount.
  • Fees are US$1,000 per category or sub-category on application, US$1,500 on grant for Categories 1 to 5 and US$1,500 a year on renewal.
  • The licensee has at least two directors, a compliance officer, professional indemnity insurance and a certified authorised representative in the territory unless it has a significant management presence there.
  • There is no statutory period; the FSC’s service standard is a decision within six weeks of a complete application and three months of an incomplete one.

Who needs the licence

A business dealing in investments, arranging deals, managing investments, advising, holding investments in custody, administering investments or operating an investment exchange in or from within the British Virgin Islands needs a licence under the Securities and Investment Business Act 2010. The licence is the route for forex and CFD brokers, securities dealers and liquidity providers that use a BVI business company as the contracting entity. The Approved Manager regime is not available for dealing: an approved manager may only manage or advise private and professional funds and related persons, and may carry on no other business.

What the FSC requires

  • Legal form and representation. A BVI business company with a certified authorised representative in the territory at all times, unless the licensee has a significant management presence there; prior FSC approval is needed to open a branch or subsidiary outside the territory.
  • Directors and officers. At least two directors; if the number falls to one, the FSC is notified immediately and a replacement applied for within 21 days. Directors, senior officers and significant owners satisfy the fit and proper criteria, with prior FSC approval of each director and senior officer appointment.
  • Compliance. A compliance officer, or an exemption, with an annual compliance report filed in either case.
  • Capital and insurance. Capital resources at all times at least the minimum the Regulatory Code prescribes for the business, with notification if they fall below; professional indemnity insurance at a level suited to the business or an exemption.
  • Client assets. Client assets identified or identifiable, appropriately segregated and accounted for, with arrangements for their protection; the Code may prescribe trust treatment.
  • Application pack. The FSC’s general application for a licence as a financial services business provider, with the fees, the business plan, the fit and proper material for each director, senior officer and significant owner, and the compliance, AML and client asset arrangements.

Geographic scope

The licence covers investment business in or from within the British Virgin Islands. A BVI business company is treated as carrying on investment business from within the territory wherever it acts, so the licence governs the company’s dealing with clients worldwide. It gives no right to market in regulated jurisdictions: a firm serving clients in the United Kingdom or the European Union holds the FCA authorisation or an EU authorisation for those markets. Opening a foreign branch or subsidiary needs the FSC’s prior approval.

Why applications are delayed

The Act states what the FSC is satisfied on before it issues a licence, and the service standards state when the six-week period becomes three months.

  1. Complete information. An application that omits the usual and necessary information moves from the six-week standard to the three-month standard.
  2. Capital and management resources. Capital resources at the Code minimum and adequate management and financial resources for the business proposed.
  3. Fit and proper owners and officers. Every director, senior officer and significant owner satisfying the fit and proper criteria; the FSC may refuse where any interest holder does not.
  4. Public interest. The FSC is satisfied that issuing the licence is not against the public interest.

Banking and liquidity

A dealing firm needs client money accounts separated from its own funds, operating accounts in its base currency and settlement accounts in the currencies it quotes, together with onboarding at one or more liquidity providers or prime brokers before the first trade. Each institution reviews the licence, the financial crime framework and the flow of funds before opening an account. We open the accounts and complete the liquidity provider onboarding alongside the application, so you trade on authorisation. See banking and payment processing.

Common questions

Which category does a forex or CFD broker need?

Category 1 sub-category B where the broker deals with clients as counterparty; sub-category A where it deals as agent on a straight-through basis. The Approved Manager regime is not available for dealing.

What capital does the FSC require?

The Regulatory Code sets capital to the nature, size, complexity and risk of the business, reviewed at least annually, and the FSC may direct a higher amount. No fixed figure is published for Category 1; the FSC sets the figure for the business during the application.

How long does the FSC take?

There is no statutory period. The FSC’s service standard is six weeks for a complete application and three months for an incomplete one; we plan for two to three months after submission.

Do we need presence in the BVI?

A certified authorised representative in the territory at all times, unless the licensee has a significant management presence there. Physical presence is a factor the FSC weighs for non-BVI applicants rather than a requirement.

Can the licence be extended to new activities?

Yes. Further categories are added by application, with a two-week service standard for an extension of licence scope.
